CORPORATE TRANSACTIONS

Sproul Trost provides advice and assistance to clients regarding a wide variety of corporate transactional matters including entity formation, drafting governing documents, such as operating agreements, and corporate maintenance. Additionally, Sproul Trost assists clients with general business transactions including, asset purchase and sale transactions, stock sale and purchase transactions, mergers and acquisitions and private placements.  The Firm assists clients with business planning scenarios. The Firm also assists companies with the negotiation of intellectual property licenses, joint venture agreements and development agreements and advises clients regarding general corporate matters, including, corporate governance and federal and state securities issues including state blue sky regulations.

NON-PROFIT ENTITIES

Sproul Trost represents many nonprofit mutual benefit corporations and local and national charities.  Services to these clients include general corporate counseling, employment law matters, tax exemption issues, tax-exempt bond financing, litigation services, corporation reorganizations and Attorney General regulatory matters.
