Sproul Trost handles matters relating to real estate development, land use planning and the unique legal issues and problems facing common interest developments and master planned communities. We have served as legal counsel to many of the Nation's largest real estate development companies, including those who specialize in active adult communities, destination resort developments, and golf course communities. Currently the firm represents real estate development companies and a number of owner associations operating in established master planned communities. The developments and condominium projects in which Sproul Trost has been involved extend from San Diego County to the Oregon border and we have extensive experience with the unique issues associated with resort developments in and around the Truckee-Tahoe region of California.

Real Estate Litigation

- Heavy commercial construction and land development cases for unimproved land for subdivision and other developments. Litigation involving issues with acquisitions and sales of developed property, including office buildings, shopping centers, apartments and industrial parks.
- Counseling and litigation on all types of insurance and insurance coverage issues.
- Defend and prosecute claims in court and arbitration proceedings relating to property management, landlord/tenant matters, association disputes, environmental risks (asbestos, underground storage tanks, soil and groundwater contamination) and other issues relating to condominium, planned unit development and standard subdivisions.

Sproul Trost provides advice and assistance to clients regarding a wide variety of corporate transactional matters including corporate governance, entity formation and drafting of governing documents, such as articles of incorporation, bylaws, operating agreements and partnership agreements. Additionally, Sproul Trost assists clients with general business transactions including, asset purchase and sale transactions, stock purchase and sale transactions, mergers and acquisitions and private placements. The Firm assists clients with business planning scenarios. The Firm also assists companies with the negotiation of intellectual property licenses, joint venture agreements and development agreements and advises clients regarding general corporate matters.

Sproul Trost represents many nonprofit mutual benefit corporations and local and national charities. Services to these clients include general corporate counseling, employment law matters, tax exemption issues, tax-exempt bond financing, litigation services, corporation reorganizations and Attorney General regulatory matters.
Environmental/Regulatory Compliance Law
Sproul Trost assists a wide-range of clients concerning permitting, siting, compliance and mitigation of environmental and land-use disputes on the local, state and federal levels. The practice includes the representation of large power producers in the permitting and siting of natural-gas fired, wind, solar and biomass power plants, as well as the defense of large landfill operations before state and local administrative agencies, trial and appellate courts. The firm's extensive experience has included interpretation and compliance with air and land-use requirements (including BACT standards, criteria and non-criteria pollutant compliance, zoning, ordinance and general plan compliance and mitigation, environmental justice analysis) as well as compliance and mitigation requirements for CEQA, Clean Water Act, Porter-Cologne Water Quality Control Act, Integrated Waste Management Act, and California and Federal Endangered Species Act.
